Terms of Use

Last updated: June 8, 2026. These Terms govern access to and use of uaxmemphis.com and related platforms.

Agreement to Terms

These Terms of Use constitute a legally binding agreement between you and United Auto Exchange (“Company,” “we,” “us,” or “our”) regarding access to and use of uaxmemphis.com and related platforms (the “Site”).

You agree that accessing the Site means you have read and accepted all Terms of Use. Failure to agree requires immediate discontinuation of use.

The Company reserves the right to modify these Terms at any time. Updates are noted by changing the “Last updated” date. Continued Site use after modifications constitutes acceptance of revised Terms.

The Site targets U.S. jurisdictions and is not designed for HIPAA or FISMA compliance. Users cannot be minors; persons under 18 are prohibited.

Intellectual Property Rights

All Site content, source code, databases, software, designs, audio, video, text, photos, and graphics, plus trademarks and logos are owned or licensed by the Company and protected by copyright and trademark law.

Users receive a limited license for personal, non-commercial access and printing only. No content may be copied, reproduced, republished, or exploited commercially without express written permission.

User Representations

By using the Site, you represent that:

  • You have legal capacity and agree to these Terms;
  • You are not a minor in your jurisdiction;
  • You will not use automated means (bots, scripts);
  • You will not use the Site illegally;
  • Your use complies with applicable laws.

Providing false information authorizes account suspension or termination.

Prohibited Activities

Users agree not to:

  1. Systematically retrieve data to create databases without written permission;
  2. Trick or mislead users or the Company, especially regarding account credentials;
  3. Disparage or harm the Company or Site;
  4. Use Site information to harass or harm others;
  5. Violate applicable laws or regulations;
  6. Engage in unauthorized framing or linking;
  7. Upload viruses, excessive capital letters, spam, or disruptive material;
  8. Use automated systems, scripts, data mining, or robots;
  9. Remove copyright or proprietary notices;
  10. Interfere with Site operation or connected networks;
  11. Copy or adapt Site software (Flash, PHP, HTML, JavaScript);
  12. Decipher, decompile, disassemble, or reverse engineer Site software;
  13. Deploy spiders, robots, scrapers, offline readers, or unauthorized scripts;
  14. Use buying or purchasing agents;
  15. Collect usernames/emails for unsolicited contact or create false accounts;
  16. Compete with the Company or use the Site for revenue-generating purposes without permission.

User Generated Contributions

The Site does not currently offer user content submission. If contribution opportunities arise, users warrant that contributions:

  • Do not infringe third-party intellectual property rights;
  • Are owned by the user with necessary licenses;
  • Include written consent of identifiable persons;
  • Are not false, inaccurate, or misleading;
  • Are not unsolicited advertising, spam, or chain letters;
  • Are not obscene, violent, harassing, libelous, or otherwise objectionable;
  • Do not ridicule, mock, intimidate, or abuse anyone;
  • Do not advocate violent government overthrow or physical harm;
  • Comply with all applicable laws and regulations;
  • Do not violate privacy or publicity rights;
  • Contain no material soliciting information from minors or exploiting minors;
  • Do not violate child protection laws;
  • Avoid offensive comments regarding race, origin, gender, orientation, or disability;
  • Otherwise comply with these Terms.

Contribution License

The Company may access, store, process, and use user information per the Privacy Policy. Feedback regarding the Site may be used and shared without compensation. Users retain ownership of contributions but exonerate the Company from liability for user-submitted statements.

Submissions

Questions, comments, suggestions, ideas, feedback, or information (“Submissions”) become the Company’s sole property. The Company owns exclusive rights, including intellectual property rights, and may use Submissions freely without acknowledgment or compensation. Users waive moral rights and warrant Submissions are original or properly licensed.

Third-Party Websites and Content

The Site may link to third-party websites and content not monitored or verified by the Company. The Company is not responsible for accuracy, appropriateness, or policies of third-party sites or content. Links do not imply endorsement. Users assume all risk when accessing third-party platforms and should review applicable terms independently. The Company disclaims responsibility for third-party purchases and content-related harm.

Site Management

The Company reserves the right to:

  1. Monitor the Site for Terms violations;
  2. Take legal action against violators, including law enforcement reporting;
  3. Refuse or disable Contributions without notice or liability;
  4. Remove excessive or burdensome files and content;
  5. Manage the Site to protect rights and ensure proper functioning.

Privacy Policy

Users agree to the Site’s Privacy Policy, incorporated into these Terms. The Site is hosted in the United States. Users from other jurisdictions with different data protection laws agree that continued Site use constitutes consent to data transfer to and processing in the U.S.

Term and Termination

These Terms remain in effect during Site use. The Company may deny access without notice or liability for any reason, including Terms breach or law violations. The Company may terminate accounts, delete content, or suspend participation without warning. Users are prohibited from registering new accounts under any name following termination. The Company reserves legal action rights, including civil, criminal, and injunctive remedies.

Modifications and Interruptions

The Company may change, modify, or remove Site contents at any time without notice and has no obligation to update information. The Company may discontinue the Site in whole or in part without notice. The Company is not liable for modification, price changes, suspension, or discontinuance. The Company cannot guarantee Site availability due to potential hardware, software, maintenance, or operational issues. Users accept that downtime results in no liability to the Company.

Governing Law

These Terms are governed by Tennessee state law, without regard to conflict-of-law principles.
